Termination
This Agreement is effective unless and until terminated by either you or BIOMED. You may terminate this Agreement at any time. BIOMED may also terminate this Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Site, if in BIOMED's sole discretion, you fail to comply with any term or provision of this Agreement. Upon any termination of this Agreement by either you or BIOMED, you must promptly destroy all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under the terms of this Agreement or otherwise.

Miscellaneous
This Site is controlled and operated by BIOMED from its offices in Philadelphia, PA. This Agreement shall be governed by and construed in accordance with laws of the the State of Pennsylvania, United States of America, without giving effect to any principles of conflicts of law. If any provision of this Agreement is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed stricken from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire Agreement between the parties relating to the subject matter herein and shall not be modified except by a written document, signed by both parties.
